  2.                       SHAREHOLDERS AGREEMENT

  5.      WHEREAS, Larry Lyon, Henry Hippo, Zelly Zebra, referred to
  6. hereafter as SHAREHOLDERS, are the owners of a total of 20,000
  7. shares of preferred stock of Amalgamated Incorporated, Inc. and
  8. they desire to agree to certain actions to be taken to protect the
  9. value of their holdings, IT IS AGREED: 
  10.  
  11. That Michael Monkey, whose address is 518 H Street, Chattanooga, 
  12. Tennessee, a charter signatory to this agreement, shall act as 
  13. the SECRETARY of this agreement. 
  14.  
  15.  
  16. In the event that the CORPORATION shall reorganize or
  17. recapitalize, then the agreement shall continue into force with
  18. the security or securities issued in lieu of this class being
  19. subject to the agreement. 
  20.  
  21.  
  22. This agreement shall be binding upon the successors of the
  23. signatories.
